Terms of Service

1. Acceptance of Terms

By accessing or using the Repliable service ("Service") operated by Epik LLC, doing business as Anchor Apps ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Description of Service

Repliable is an AI-assisted review response management platform designed for business use. The Service connects to your Google Business Profile to retrieve customer reviews and generate draft responses using artificial intelligence.

Important: All AI-generated responses are drafts only. You retain full control and final approval authority before any response is posted to your Google Business Profile. Repliable does not post responses without your explicit approval.

3. User Responsibilities

By using the Service, you represent and warrant that:

  • You are using the Service for legitimate business purposes only.
  • You have legal authority to manage the Google Business Profile(s) you connect to Repliable.
  • You will comply with Google's Terms of Service, Acceptable Use Policy, and all applicable Google Business Profile policies.
  • You will not use the Service to post spam, misleading content, fake reviews, or any content that violates applicable laws or regulations.
  • You will review all AI-generated responses before approving them for posting.
  • You are solely responsible for the content of responses posted to your Google Business Profile through the Service.

4. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

Each individual user must have their own account. Organizations may have multiple user accounts for different team members.

5. Acceptable Use

The Service is intended for legitimate business review management only. You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to other users' accounts or our systems.
  • Use the Service to generate or post misleading, defamatory, or fraudulent content.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Resell, sublicense, or redistribute the Service without our prior written consent.

6. Intellectual Property

  • Our Software: Repliable, its design, features, and underlying technology are our intellectual property. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
  • Your Business Data: You retain all ownership rights to your business data, including Google reviews, business information, and account data.
  • AI-Generated Responses: We assign to you any rights we may have in AI-generated responses that you approve, and we will not assert any rights over such content. We do not use your approved responses to train AI models or for any purpose unrelated to providing the Service.

7. Google Account Access

When you connect your Google Business Profile to Repliable:

  • Access is granted via Google's secure OAuth 2.0 protocol.
  • You can revoke Repliable's access at any time through your Google Account settings.
  • We process your Google Business data solely to provide the Service on your behalf.
  • Our use of Google data complies with the Google API Services User Data Policy, including the Limited Use requirements.
  • Upon account termination or revocation of access, we delete your Google Business data within 30 days in accordance with our Privacy Policy.

8. Subscription and Billing

  • Paid plans are billed on a monthly recurring basis via Stripe. All fees are exclusive of applicable taxes, which are your responsibility.
  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.
  • If a payment fails, we may suspend access to the Service until the payment issue is resolved. We will notify you of failed payments and provide a reasonable grace period before suspension.
  • We reserve the right to change pricing with 30 days' advance notice to the email address associated with your account. Price changes will not affect the current billing period.
  • If we offer a free trial, the terms and duration will be specified at the time of enrollment. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan.

9. Indemnification

You agree to defend, indemnify, and hold harmless Epik LLC, doing business as Anchor Apps, its officers, directors, employees, and agents, from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service.
  • Content you approve and post through the Service.
  • Your violation of these Terms or any applicable law.
  • Your violation of any third party's rights, including intellectual property rights.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AI-generated responses are suggestions only and are not guaranteed to be accurate, appropriate, legally compliant, or error-free. You are responsible for reviewing and approving all responses before they are posted.
  • We are not responsible for any damages resulting from responses posted to your Google Business Profile through the Service.
  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total amount you have paid to us in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility of such damages.
  • Nothing in these Terms excludes or limits our liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any AI-generated content will be accurate, legally compliant, or suitable for your specific needs. The Service depends on third-party platforms (including Google and OpenAI) whose availability and performance are outside our control.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or infrastructure failures, third-party service outages (including Google API or OpenAI outages), cyberattacks, pandemics, or labor disputes.

13. Termination

  • You may delete your account and terminate your use of the Service at any time.
  • We may immediately suspend or terminate accounts engaged in fraud, illegal activity, or actions that threaten the security or integrity of the Service.
  • For other violations of these Terms, we will provide notice and a reasonable opportunity to cure before terminating your account, unless repeated violations make this impractical.
  • Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days in accordance with our Privacy Policy.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in Michigan.

15. Changes to Terms

We may modify these Terms from time to time. We will provide at least 30 days' advance notice via email before any material changes take effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.

16. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements or communications.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
  • Survival: Sections relating to Intellectual Property, Indemnification, Limitation of Liability, Warranty Disclaimer, Governing Law, and General Provisions shall survive termination of these Terms.
